These Terms of Service ("Terms") govern your access to and use of the Llimo website (the “Site”), the Llimo software-as-a-service platform, and all associated services, applications, and tools provided by Llimo (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Service Description

Llimo provides a platform that allows businesses to optimize their websites and business information for discoverability and representation within large language models (LLMs), AI-powered tools, and chatbots. This includes:

• One-line code integration for metadata and schema optimization.

• Structuring business information for LLM accessibility.

• Real-time AI mention notifications.

• Custom AI tagging features.

• Insights into user queries triggering AI recommendations.

• Direct integration with leading LLMs (when applicable).

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you may need to register for an account. You agree to:

• Provide accurate and current information.

• Maintain the confidentiality of your login credentials.

• Notify us immediately of unauthorized access to your account.

You are responsible for all activity that occurs under your account.

4. License and Restrictions

• Reverse-engineer, decompile, or disassemble any aspect of the Service.

• Use the Service in any way that violates applicable laws or regulations.

• Sell, sublicense, or otherwise commercially exploit the Service except as expressly permitted.

• Use the Service to infringe on the intellectual property rights of others.

• Introduce malware, viruses, or any code that may damage the Service.

5. Fees and Payment

Some features may require a paid subscription. If you purchase a subscription:

• You agree to pay all applicable fees and taxes.

• Subscriptions automatically renew unless canceled in advance.

• Refunds are subject to Llimo’s Refund Policy.

We reserve the right to change our pricing at any time, with notice to you.

6. Intellectual Property

6.1 Ownership

Llimo retains all rights, title, and interest in and to the Service, including all intellectual property rights.

6.2 User Content

You retain ownership of any data, content, or materials you upload to the Service (“User Content”). You grant Llimo a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Service.

You represent that you have the necessary rights and permissions to provide the User Content.

7. Privacy

We collect and use personal information in accordance with our Privacy Policy. You acknowledge that Llimo may process your data, including for analytics, support, and enhancement of AI-based services.

8. AI Data Integration and Accuracy

You acknowledge that Llimo facilitates the structuring and forwarding of your business metadata to third-party LLMs and AI systems. While we strive for accuracy, we cannot guarantee how or whether your data will be used or interpreted by third-party models.

Llimo is not responsible for errors, misrepresentations, or omissions in how AI systems represent your business.

9. Third-Party Services

The Service may integrate with or link to third-party platforms. Llimo is not responsible for any third-party services, their availability, or their accuracy. Your use of those services is governed by their respective terms.

10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee any specific business results, placement in AI outputs, or uninterrupted access.

11. Limitation of Liability

To the fullest extent permitted by law, Llimo shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of the Service.

In no event shall Llimo’s total liability exceed the amount you paid in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Llimo, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice.

You may also terminate your account at any time. Upon termination, your license ends and your data may be deleted in accordance with our data retention policy.

14. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or on the Site. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles.

Any disputes shall be resolved through binding arbitration in Colorado, except that either party may seek injunctive or equitable relief in court for matters involving intellectual property or unauthorized use.

16. Miscellaneous

• These Terms constitute the entire agreement between you and Daba LLC, doing business as Llimo.

• If any provision is held invalid, the remainder will continue in full force.

• Our failure to enforce any provision is not a waiver of that provision.

• You may not assign these Terms without our prior written consent.
